INTRODUCTION
VERIFORCE is committed to business ethics, human rights, sustainability, and legal compliance. We expect the same from our suppliers, vendors, contractors, consultants, and agents (“Suppliers”). All services provided to VERIFORCE must comply with this Code and relevant laws. Failure to adhere may result in termination of the business relationship after a notice period to comply. Serious violations may lead to immediate termination.
As a Supplier, you must inform VERIFORCE of any known violations of this Code or applicable laws. We conduct risk assessments of new and existing Suppliers to ensure compliance.
Suppliers should follow VERIFORCE’s governance mechanisms, including contracts, policies, and procedures, provided during onboarding or introduced later.
SUSTAINABILITY
VERIFORCE is dedicated to minimizing environmental impact and adopting sustainable practices. We expect Suppliers to be committed to achieve the same. Work performed for us must comply with all applicable environmental laws and regulations.
BRIBERY AND CORRUPTION
We have zero tolerance for bribery and corruption. Suppliers must not offer any bribes or payments to influence business decisions or gain benefits.
FORCED AND CHILD LABOR
Modern slavery and child labor are serious human rights violations. VERIFORCE has a zero-tolerance policy and will ensure ethical practices in our business and supply chain. We expect Suppliers to uphold these standards and avoid any forced or child labor.
Suppliers must comply with all laws regarding modern slavery and child labor.
COMPLIANCE WITH LAWS AND REGULATIONS
Suppliers agree to adhere to all relevant laws, regulations, and policies, including privacy laws.
DATA PRIVACY
Suppliers processing personal information for VERIFORCE must comply with privacy laws and complete a Data Processing Agreement with us.
HEALTH & SAFETY
Suppliers must manage health and safety risks to protect employees and third parties and comply with all relevant health and safety laws.
RESPECTFUL WORKPLACE
VERIFORCE fosters a respectful environment free of harassment and discrimination. Suppliers must ensure similar standards within their organizations and comply with labor laws.
LABOR STANDARDS
Suppliers must respect human rights, avoid labor violations, ensure working hours comply with local laws, and meet minimum wage requirements.
FINANCIAL INTEGRITY
Suppliers must maintain accurate accounting records and follow retention policies according to applicable laws.
EXPORT CONTROL AND TRADE SANCTIONS
VERIFORCE complies with all relevant economic sanctions and regulations. Suppliers must not provide goods or services from sanctioned countries or parties.
INTELLECTUAL PROPERTY
Suppliers must respect VERIFORCE’s intellectual property and confidential information, ensuring it is not disclosed to unauthorized third parties.
INFORMATION SECURITY
Suppliers must ensure the confidentiality and integrity of information, promoting best practices in information security.
MONEY LAUNDERING
We have zero tolerance towards money laundering. Suppliers must retain detailed records of client information, business relationships, and significant financial transactions; report suspicious transactions, large cash transactions, or large international electronic funds transfers; Continuously monitor business relationships to ensure client information remains current and to identify any changes in circumstances.
FAIR COMPETITION AND ANTI-TRUST
Suppliers must not enter into agreements with competitors to divide markets, exchange confidential pricing information, or engage in predatory pricing, and should document their business purpose for any discussions with rivals. Suppliers must not use anti-competitive practices such as price-fixing, bid-rigging, boycotting, and exclusive dealing that harm market competition.
CONFLICT OF INTEREST
Suppliers must be transparent about relationships or financial interests that could create an unfair advantage, and failure to comply can lead to the termination of the business relationship.
WHISTLEBLOWING AND PROTECTION AGAINST RETALIATION
Suppliers must ensure clear policies on confidentiality, assurance against retaliation, investigation procedures and reporting channels are established. Supplier must guarantee that the identity of the whistleblower and the details of the report are kept confidential, shared only with designated individuals as necessary for investigation or to regulatory authorities, and implement measures to protect whistleblowers from negative consequences, such as termination or harassment, for reporting concerns.
